Terms of Service

Welcome to After Trials.

These Terms of Service (“Terms”) govern your access to and use of the After

Trials website, applications, platform, features, and services (collectively,

the “Platform”).

After Trials is a professional networking platform initially designed for

medical students and doctors, with the intention of expanding to additional

healthcare and medical professionals in the future. The Platform may allow users

to create professional profiles, connect with other users, communicate, share

professional content, discover jobs, apply for opportunities, participate in

research and professional collaboration, and use other professional networking

features.

By creating an account, accessing, or using After Trials, you agree to these

Terms and our Privacy Policy.

If you do not agree with these Terms, you must not use After Trials.

01

About After Trials

After Trials provides technology and services intended to facilitate

professional networking and communication between eligible users.

After Trials is not a hospital, university, medical institution, employer,

recruitment agency, medical practice, research institution, or healthcare

provider, unless expressly stated otherwise for a particular service.

After Trials primarily provides the platform through which users can interact

with one another.

We do not generally control or guarantee the actions, qualifications,

statements, content, opportunities, communications, employment offers, research

activities, or professional conduct of users.

02

Eligibility

After Trials is intended for individuals who have a legitimate connection to

medicine.

Currently, this includes:

  • Medical students enrolled in a recognized medical education program;
  • Individuals who have completed medical school or an equivalent medical

education program and are doctors or otherwise professionally engaged in

medicine; and

  • Other professional categories that After Trials may support in the future.

You must be legally permitted to use After Trials in your jurisdiction.

You must provide accurate information regarding your identity, education,

professional status, and credentials when requested.

You must not create an account by impersonating another person or

misrepresenting your professional or educational status.

03

Professional Verification

After Trials may use verification processes to help establish whether a user is

an eligible medical student, doctor, or other professional.

Verification may involve:

  • University or institutional email addresses;
  • Professional identification;
  • Medical credentials;
  • Registration information;
  • Educational records;
  • Employment information; or
  • Other reasonable documentation.

Verification is intended to help maintain the integrity of the professional

community.

However, verification does not constitute a guarantee, certification,

accreditation, endorsement, or independent confirmation of every qualification,

claim, credential, employment relationship, or professional activity associated

with a user.

Users remain responsible for providing accurate and truthful information.

After Trials may suspend or restrict accounts where verification cannot

reasonably be completed or where information appears misleading, fraudulent, or

inaccurate.

04

Your Account

You are responsible for maintaining the confidentiality of your account

credentials.

You agree to:

  • Provide accurate information;
  • Keep your account information reasonably current;
  • Protect your password and authentication credentials;
  • Not share your account with another person;
  • Not allow another person to use your account;
  • Notify us if you suspect unauthorized access; and
  • Take reasonable steps to protect your account.

You are responsible for activity occurring through your account unless the

activity resulted from circumstances outside your reasonable control and you

promptly notify us.

We may require additional verification where necessary to protect your account

or the Platform.

05

Professional Profiles

You may create a professional profile containing information you choose to

provide.

You are responsible for ensuring that your profile information is:

  • Accurate;
  • Not misleading;
  • Lawfully provided;
  • Appropriately authorized; and
  • Not presented in a way that falsely represents your qualifications or

professional status.

You must not falsely claim to be a doctor, medical student, researcher,

healthcare professional, institution, employer, recruiter, or other person or

organization.

You must not use another person’s identity or professional credentials without

authorization.

06

User Content

After Trials allows users to create, upload, publish, transmit, and share

content (“User Content”).

User Content may include:

  • Posts;
  • Comments;
  • Messages;
  • Images;
  • Documents;
  • Professional information;
  • Research-related content;
  • Job listings;
  • Job applications;
  • Collaboration requests;
  • Links;
  • Profile information; and
  • Other material submitted to the Platform.

You retain ownership of your User Content, subject to the rights you grant to

After Trials under these Terms.

07

License to User Content

By submitting User Content to After Trials, you grant After Trials a

non-exclusive, worldwide, royalty-free license to host, store, reproduce,

process, display, transmit, and distribute that content as reasonably necessary

to operate, maintain, secure, and improve the Platform and provide its features.

For example, this license may allow us to:

  • Display your profile to other users;
  • Display your posts;
  • Deliver your messages to intended recipients;
  • Store your uploaded documents;
  • Process images;
  • Back up Platform data;
  • Deliver content through Platform infrastructure; and
  • Perform technical operations necessary to provide the service.

This license does not transfer ownership of your User Content to After Trials.

Where your User Content is deleted, the license will generally end when the

content is removed from our active systems, except where continued retention or

processing is necessary for legal, security, backup, dispute-resolution, or

other legitimate purposes.

08

Responsibility for User Content

You are solely responsible for your User Content.

You are responsible for ensuring that your content:

  • Is accurate where presented as factual;
  • Does not violate applicable law;
  • Does not infringe another person’s rights;
  • Does not violate confidentiality obligations;
  • Does not contain prohibited patient information;
  • Does not unlawfully disclose confidential research or institutional

information;

  • Does not impersonate another person;
  • Does not contain fraudulent professional credentials; and
  • Does not otherwise violate these Terms.

After Trials does not adopt, endorse, or guarantee the accuracy of User Content

merely because it is displayed on the Platform.

09

Strict Prohibition on Patient-Identifiable Information

Because After Trials operates in a medical professional environment, users must

take particular care when sharing clinical or educational material.

You must not upload, publish, transmit, or otherwise share personally

sharing it.

Users are solely responsible for obtaining any necessary:

  • Patient consent;
  • Institutional authorization;
  • Ethics approval;
  • Research approval; or
  • Other legally required permission.

If prohibited patient information is identified, After Trials may immediately

remove the content, restrict access, suspend the account, terminate the account,

or take other appropriate action.

After Trials is not a healthcare provider.

Information posted by users does not constitute medical advice from After

Trials.

Users must not rely on After Trials as a substitute for professional medical

care, diagnosis, treatment, emergency services, or consultation with an

appropriately qualified healthcare professional.

After Trials does not guarantee the accuracy, completeness, safety, or

reliability of medical, scientific, clinical, or health-related information

posted by users.

Users who provide medical information are responsible for ensuring that their

communications are appropriate for the circumstances and comply with applicable

professional and legal obligations.

12

Do not use messaging to:

  • Harass;

  • Spam;
  • Impersonate;
  • Share unauthorized patient information;
  • Share confidential information without authorization; or
  • Engage in any activity prohibited by these Terms.

Messages may be accessed or reviewed by authorized After Trials personnel or

systems where reasonably necessary for safety, abuse investigations, fraud

prevention, security, technical support, legal compliance, or enforcement of

these Terms.

14

Jobs and Recruitment

After Trials may allow users and organizations to post jobs and professional

opportunities.

After Trials may connect applicants with employers or other organizations but

does not generally act as the employer.

After Trials does not guarantee:

  • That a job listing is genuine;
  • That an employer will hire an applicant;
  • That an applicant is qualified;
  • That an employer is suitable;
  • That a position will remain available;
  • Salary or employment conditions;
  • Working conditions; or
  • The outcome of an application.

Employers and job posters are responsible for the accuracy and legality of their

listings.

Applicants are responsible for the accuracy of information they submit.

Users should independently verify job offers and organizations before providing

sensitive information, paying money, signing agreements, or accepting

employment.

15

Relationships Between Users

After Trials provides a platform for users to discover and communicate with one

another.

Any relationship, collaboration, employment arrangement, research project,

business transaction, professional engagement, or other interaction between

users is primarily between those users.

After Trials is not responsible for disputes, losses, misconduct, fraud,

negligence, professional errors, employment decisions, research outcomes, or

other consequences arising from interactions between users, except to the extent

liability cannot legally be excluded.

Users should exercise appropriate professional judgment before relying on

information provided by another user.

16

Moderation and Safety

We may monitor, review, investigate, restrict, or remove content or accounts

where reasonably necessary to:

  • Protect users;
  • Prevent abuse;
  • Prevent fraud;
  • Maintain Platform security;
  • Enforce these Terms;
  • Investigate reports;
  • Comply with applicable law;
  • Respond to lawful requests;
  • Protect our rights; or
  • Maintain the integrity of the professional community.

We may take actions including:

  • Removing content;
  • Limiting content visibility;
  • Restricting features;
  • Requiring additional verification;
  • Temporarily suspending accounts;
  • Permanently terminating accounts; or
  • Taking other reasonable measures.

We are not required to monitor every piece of User Content.

The absence of moderation does not mean that content has been reviewed or

approved by After Trials.

17

Reporting Violations

If you believe that content or behavior violates these Terms, applicable law, or

another person’s rights, you may report it to After Trials.

Reports should contain enough information for us to understand the concern.

We may investigate reports at our discretion and take appropriate action.

Submitting a report does not guarantee that content will be removed or that a

particular action will be taken.

18

Intellectual Property

The After Trials Platform and its original features, software, designs,

branding, logos, text, graphics, interfaces, and other materials are owned by or

licensed to After Trials unless otherwise stated.

You may not copy, reproduce, modify, distribute, sell, lease, sublicense,

reverse engineer, or commercially exploit After Trials or its proprietary

materials without appropriate authorization.

The name After Trials, associated branding, logos, designs, and related

marks may not be used in a way that suggests an unauthorized affiliation or

endorsement.

19

Feedback

If you provide suggestions, ideas, feedback, or recommendations concerning After

Trials, you grant us the right to use that feedback without restriction or

compensation to you.

This does not transfer ownership of unrelated intellectual property that you

independently own.

20

After Trials may introduce paid services in the future.

These may include:

  • Premium subscriptions;
  • Professional plans;
  • Recruitment services;
  • Job-posting services;

Where appropriate and legally permissible, we may provide an opportunity to

address or appeal an account action.

24

Effect of Account Termination

When your account is terminated or deleted, you may lose access to your profile,

content, connections, messages, and other Platform features.

Our Privacy Policy explains how personal information may be retained or deleted

following account deletion.

Certain information may be retained where required or permitted by law or where

reasonably necessary for security, fraud prevention, dispute resolution,

enforcement of agreements, or protection of rights.

25

No Guarantee of Availability

We aim to provide a reliable service but do not guarantee that After Trials will

always be:

  • Available;
  • Uninterrupted;
  • Secure;
  • Error-free;
  • Accurate;
  • Complete; or
  • Free from bugs or technical problems.

The Platform may occasionally be unavailable due to maintenance, upgrades,

technical problems, security incidents, third-party failures, or circumstances

beyond our reasonable control.

26

No Guarantee Regarding Users or Content

After Trials does not guarantee the identity, qualifications, conduct,

intentions, statements, professional status, or reliability of users.

We also do not guarantee the accuracy or reliability of User Content.

A verified badge, profile, credential, or other verification indicator should

not be interpreted as an absolute guarantee of a user’s qualifications or

conduct.

You are responsible for exercising appropriate judgment when interacting with

other users.

27

Disclaimers

To the maximum extent permitted by applicable law, After Trials is provided on

an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, After Trials and its

operators, affiliates, service providers, representatives, and personnel will

not be liable for indirect, incidental, special, consequential, exemplary, or

punitive damages arising from or related to your use of the Platform.

This may include losses arising from:

  • User interactions;
  • Employment opportunities;

  • Research collaborations;
  • Professional relationships;
  • User Content;
  • Loss of data;
  • Unauthorized access;
  • Business interruption;
  • Reliance on information provided by users; or
  • Third-party services.

Nothing in these Terms limits liability where such limitation is prohibited by

applicable law.

29

To the extent permitted by applicable law, you agree to defend, indemnify, and

hold harmless After Trials and its operators, affiliates, representatives,

personal information.

By using After Trials, you acknowledge that you have reviewed our Privacy

Policy.

You are responsible for complying with laws and regulations applicable to your

use of After Trials.

This may include laws relating to:

  • Privacy;
  • Data protection;
  • Medical confidentiality;
  • Professional conduct;
  • Intellectual property;
  • Employment;
  • Recruitment;
  • Research;
  • Patient rights;
  • Advertising;
  • Communications; and
  • Other activities relevant to your use of the Platform.

After Trials does not guarantee that every feature is appropriate or legally

available in every jurisdiction.

32

International Users

After Trials may be used by people located in different countries.

Different jurisdictions may impose different requirements on users.

You are responsible for determining whether and how you may legally use the

Platform in your jurisdiction.

Where applicable, After Trials will take reasonable measures required by

applicable law concerning international users and data processing.

33

Changes to These Terms

We may update these Terms from time to time.

Changes may be necessary because of:

  • New features;
  • Changes to the Platform;
  • Legal or regulatory requirements;
  • Security considerations;
  • Business changes; or
  • Other operational reasons.

When appropriate, we may notify users through the Platform, by email, or through

another appropriate method.

The “Last Updated” date at the beginning of these Terms indicates when the Terms

were most recently updated.

Where required by applicable law, material changes will become effective only

after appropriate notice or consent.

34

Severability

If any provision of these Terms is found to be invalid, unlawful, or

unenforceable, that provision will be interpreted or modified to the minimum

extent necessary to make it enforceable where legally permitted.

The remaining provisions will continue to apply.

35

No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean

that we permanently waive our right to enforce it later.

36

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly

applicable to particular features or services, constitute the agreement between

you and After Trials concerning your use of the Platform, except where

applicable law requires otherwise.

37

Assignment

You may not transfer or assign your rights or obligations under these Terms

without our prior written consent where such consent is legally required.

After Trials may transfer its rights or obligations in connection with a merger,

acquisition, restructuring, sale of assets, financing, or similar transaction,

subject to applicable law.

38

Governing Law and Disputes

The governing law and dispute-resolution process applicable to After Trials will

depend on the legal entity operating the Platform and the jurisdictions in which

it operates.

Because After Trials is currently being developed prior to formal incorporation,

the specific governing law, jurisdiction, arbitration provisions, and

dispute-resolution mechanism may be added or updated once the operating legal

entity and applicable jurisdiction have been formally established.

Nothing in this section limits any mandatory rights users may have under the

laws of their jurisdiction.
